Kentucky is one of the cheapest and fastest states to form an LLC in the United States, with a low filing fee and a small yearly renewal cost. This guide walks you through what it costs on each PowerLaunch plan, what you owe the state each year, and when a different state might suit you better.
Who Kentucky suits
Kentucky works well if you want a low-cost, low-maintenance LLC and you do not have a strong reason to form somewhere else. It suits freelancers, consultants, small e-commerce sellers, and software founders who are not raising venture capital and do not need a specific state's court system or investor reputation. If your main goal is a working US LLC with a bank account and clean bookkeeping, Kentucky gets you there quickly and cheaply.
It is less suited to founders who plan to raise institutional funding, since investors usually expect a Delaware corporation for that stage. It is also not the state of choice if privacy of ownership is your top priority, since Wyoming is generally viewed as stronger on that front. Check Kentucky's state site for the current details before you file, since fees and forms can change.
What it costs in year one
Kentucky's LLC filing fee is $40. Kentucky's corporation filing fee is $50. On top of that, you pay for the PowerLaunch plan you choose. Formation itself is fast in Kentucky, usually 1 to 3 business days.
| Plan | Annual plan price | Kentucky LLC filing fee | Year one total |
|---|---|---|---|
| Launch | $295 | $40 | $335 |
| Run | $1,995 | $40 | $2,035 |
| Scale | $2,995/yr or $329/mo | $40 | $3,035/yr (plus $40 in month one on the monthly option) |
If you need your EIN faster than the standard timeline, you can add expedited EIN processing for $295 on the Launch or Run plan. Scale includes expedited EIN already.
Yearly cost after year one
After your first year, you pay the plan renewal plus Kentucky's ongoing state cost, which is $15 a year for the annual report. State fees are billed at cost and are not part of the PowerLaunch plan price.
| Plan | Annual renewal | Kentucky yearly state cost | Total per year after year one |
|---|---|---|---|
| Launch | $295 | $15 | $310 |
| Run | $1,995 | $15 | $2,010 |
| Scale | $2,995/yr or $329/mo | $15 | $3,010/yr |
Registered agent requirement
Kentucky requires every LLC to keep a registered agent with a physical address inside the state. This is where the state and any legal notices get sent. You cannot use a P.O. box for this, and if you do not have a Kentucky address yourself, you need a registered agent service.
Every PowerLaunch plan, including Launch, includes a Kentucky registered agent along with a virtual mailing and business address. You do not need to source this separately or track a renewal date for it, since it is bundled into your plan and stays active for as long as your plan is active.
Annual report
Kentucky requires an annual report to keep your LLC in good standing. Missing it can lead to your LLC being marked delinquent or eventually dissolved by the state. On the Run and Scale plans, PowerLaunch files this annual report for you as part of the plan. On Launch, you are responsible for filing it yourself before the deadline, and PowerLaunch's assistant in MyCG.AI can help you track when it is due. Always confirm the exact due date and fee on Kentucky's state site, since these details are set by the state and can change.
State income tax position
Kentucky has a state income tax. In general terms, whether your LLC owes Kentucky income tax depends on where your business activity actually happens and whether you have a real connection to the state, not just a registered agent address there. A non-US founder with no physical presence, employees, or operations in Kentucky typically has a different position than a founder who lives or works there. This area has real nuance, so treat this as a general description and not tax advice, and get specific guidance for your situation. PowerLaunch's Run and Scale plans include a consultation with a licensed tax professional, which is the right place to confirm your exact position.
Separately, most foreign-owned single-member LLCs need to file Form 5472 along with a pro forma 1120 with the IRS by April 15 each year, regardless of which state formed the LLC. This is a federal requirement, not a Kentucky one. Under the current 2026 interim FinCEN rule, US-formed companies are exempt from BOI reporting, but you should check for any updates before your filing season.
When Wyoming or Delaware would be the better choice
Kentucky is a strong default, but it is not always the right fit.
- Choose Wyoming if you want no state income tax and stronger owner privacy, and you do not need a specific state's investor reputation. Wyoming also forms quickly, typically 1 to 3 business days through PowerLaunch.
- Choose Delaware, usually as a C-Corporation rather than an LLC, if you plan to raise venture capital, bring on institutional investors, or eventually go public. Delaware's corporate law and courts are what most US investors expect to see.
- Stay with Kentucky if neither of those needs applies to you and you want a simple, low-cost LLC with fast formation.
If you are unsure, a short consultation before you file can save you from switching states later, which costs more than getting it right the first time.
