How to form an LLC in West Virginia as a non-US founder (2026)

A plain guide for non-US founders on forming a West Virginia LLC in 2026, with real costs, timelines, and the PowerLaunch steps.

West Virginia is a low-cost state for forming an LLC, with a modest filing fee and a small yearly upkeep cost. This guide walks you through who it suits, what you pay in year one and after, and how to set it up through PowerLaunch.

Who West Virginia suits

West Virginia works well if you want a low-cost, low-maintenance LLC and you do not need the legal or investor recognition that comes with Delaware, or the privacy features of Wyoming. It suits founders running a simple online business, a services company, or a holding entity where the state of formation is not part of your pitch to investors or partners.

It does not suit you if you plan to raise venture capital, since most US investors expect a Delaware C-Corporation for that. It also does not suit you if you want maximum owner privacy, since some states publish less member information than others; check West Virginia's current disclosure rules on the Secretary of State's site before you decide.

What it costs in year one

West Virginia's LLC filing fee is $100. Corporation filing fee is also $100. You pay this state fee on top of your PowerLaunch plan price, and PowerLaunch passes it through at cost with no markup.

Plan Plan price State filing fee Year one total
Launch $295 $100 $395
Run $1,995 $100 $2,095
Scale $2,995/yr ($329/mo) $100 $3,095/yr (or $329/mo plus $100)

If you need your EIN faster, the expedited EIN add-on is $295 on Launch and Run, and it comes included on Scale.

Yearly cost after formation

West Virginia keeps ongoing costs low. The state's yearly cost for an LLC, covering the annual report or franchise minimum, runs around $25. This is separate from your PowerLaunch plan renewal, which covers your registered agent, mailing address, and (on Run and Scale) your tax filings and bookkeeping.

So after year one, expect your state cost to drop to roughly $25 per year, plus whichever PowerLaunch plan you keep running.

Registered agent requirement

West Virginia requires every LLC and corporation to keep a registered agent with a physical address in the state. This agent receives legal and state mail on your company's behalf. All PowerLaunch plans include a registered agent and a virtual mailing and business address, so this requirement is handled from day one and stays covered as long as your plan is active.

Annual report

West Virginia requires an annual report to keep your LLC in good standing. Missing it can lead to late fees or, eventually, administrative dissolution. On the Run and Scale plans, PowerLaunch files this annual report for you as part of the plan. On the Launch plan, you are responsible for filing it yourself or upgrading later. Always check the West Virginia Secretary of State's site for the current filing window and any fee changes, since these details can shift from year to year.

State income tax position

West Virginia has a state corporate income tax and applies personal income tax rules to pass-through income for residents. If you are a non-US founder with no US-based income and no physical presence or employees in the state, your West Virginia state tax exposure is often minimal, but this depends on your specific facts and how your LLC is taxed at the federal level. This guide gives you the general shape only, not personalized tax advice. Check West Virginia's Department of Revenue site for current rules, and talk to a licensed tax professional about your situation. Run and Scale plans include a consultation with a licensed tax professional, which is a good place to get this confirmed for your case.

Regardless of state, if you are a non-US owner of a single-member LLC, you still have a federal filing requirement: Form 5472 with a pro forma 1120, due by 15 April. This applies no matter which state you form in.

When Wyoming or Delaware would be the better choice instead

West Virginia is a fine general-purpose choice, but it is not always the best fit.

Situation Better fit
Raising venture capital or planning to issue investor shares Delaware, C-Corporation
Want the strongest owner privacy protections Wyoming
Want the fastest formation timelines (1 to 3 business days) Wyoming, Kentucky, or Colorado
Simple business, low cost, no investor plans West Virginia works well
Building a holding structure with multiple entities Wyoming is commonly used

If your plans change later, for example if you start raising outside capital, you can restructure or form a new Delaware entity above your West Virginia LLC. Talk this through in your free consultation before you file, since switching later costs more than choosing correctly up front.

Step-by-step through PowerLaunch

  1. Go to powerlaunch.solutions/signup and pick your plan: Launch, Run, or Scale.
  2. Choose West Virginia as your formation state and enter your business details.
  3. Pay your plan price plus the $100 West Virginia state filing fee. Add expedited EIN if you want it and it is not already included.
  4. PowerLaunch prepares and files your formation documents, sets up your registered agent, and issues your operating agreement.
  5. Formation typically takes about 1 week in West Virginia. Your EIN follows, usually 2 to 4 weeks without expedited processing, or in days with the add-on.
  6. Once your EIN is issued, PowerLaunch can introduce you to Mercury, Wise Business, or Relay for a US business bank account. Approval is always the bank's decision.
  7. Log in to MyCG.AI to access your AI assistant, documents, and (on Run and Scale) your transaction tracking, invoicing, and financial reports.
  8. If you are on Run or Scale, use your included tax professional consultation to confirm your federal and state filing obligations, including Form 5472 and your West Virginia annual report.

If anything in your formation is filed incorrectly because of a PowerLaunch error, PowerLaunch corrects it at its own cost and refunds that portion of the plan fee. State fees are never refundable.
