Many Israeli founders form a US company to bill clients in dollars, use Stripe and US payment rails, sell on US marketplaces, or meet investor expectations. You do not need a visa or a US visit to do this, and you can run the whole process from Israel.
Why Israeli founders choose a US company
If your customers are in the US, or you sell through platforms that expect a US business, a US LLC or C-Corp makes invoicing, contracts, and payments simpler. Stripe, US marketplaces, and many B2B clients prefer paying a US entity. If you plan to raise money from US investors, a Delaware C-Corp is usually the expected structure. If you are a service business, freelancer, or small e-commerce operator without US investors, a Wyoming LLC is usually simpler and cheaper to run.
No visa, no US visit
Company formation, the EIN, and business banking can all be completed while you stay in Israel. Registered agents, virtual mailing addresses, and online bank applications remove the need to travel. Some banks may ask for a video call, but this is done remotely.
Choosing a state
| Factor | Wyoming LLC | Delaware C-Corp |
|---|---|---|
| Best for | Freelancers, agencies, small e-commerce, SaaS without outside investors | Startups raising from US VCs or issuing equity to a US team |
| Annual filing | State annual report | State annual report and franchise tax, check Delaware's site for current rates |
| Federal tax filing | Pass-through by default, but a foreign-owned single-member LLC still files informational forms | Corporate tax return, more formal bookkeeping needed |
| Complexity | Lower | Higher |
Wyoming, Colorado, and Kentucky tend to have the fastest formation times, usually 1 to 3 business days. Most other states take 1 to 2 weeks. If you are not raising venture money, Wyoming is the sensible default. If you plan to raise a US priced round, talk to your lawyer and PowerLaunch about a Delaware C-Corp before you file.
Getting an EIN without an SSN
You do not need a Social Security Number to get an EIN. The IRS issues EINs to foreign owners through a different process, and it normally takes 2 to 4 weeks without an SSN. If you need it faster, PowerLaunch offers an expedited EIN add-on for $295 on the Launch and Run plans, which is already included on Scale. Your EIN is required before you can open a US business bank account.
Opening a US bank account from Israel
Once your LLC or corporation is formed and your EIN is issued, PowerLaunch can introduce you to Mercury, Wise Business, or Relay. Each bank reviews your application and makes its own approval decision, PowerLaunch cannot guarantee approval. Having your formation documents, EIN letter, and a clear description of your business ready speeds up the review.
The US filings you need every year
Running a US LLC from Israel comes with recurring paperwork, even if the company has little or no US activity.
- Form 5472 with a pro forma 1120: if your LLC is foreign-owned and has one member, you must file this informational return by 15 April each year. It reports transactions between the LLC and its foreign owner. Missing this filing carries meaningful penalties, so treat the deadline seriously.
- State annual report: most states require a yearly filing to keep your company in good standing. Fees and deadlines vary by state, so check the state's site for the current rule.
- BOI reporting: under the current 2026 interim FinCEN rule, US-formed companies are exempt from beneficial ownership reporting. Rules can change, so confirm the current status before you rely on this.
Israeli tax and reporting obligations
Owning a foreign company can trigger reporting duties in Israel, and possibly Israeli tax on the company's income or on distributions to you, depending on your residency status and how the business is structured. These rules are specific to your situation and can change, so this guide will not attempt to state exact percentages or cite specific Israeli tax provisions. Speak with an Israeli accountant or tax adviser who handles foreign company ownership before and after you form your US entity. PowerLaunch handles the US side, your local adviser should confirm the Israel side.
What PowerLaunch does for you
