Forming a US LLC from Bangladesh: the Bangladeshi founder's guide (2026)

A plain guide for Bangladeshi founders on forming a US LLC, getting an EIN without an SSN, opening a US bank account, and yearly filings.

Setting up a US company from Bangladesh is common now, and you do not need to travel or hold a US visa to do it. This guide walks through why founders choose a US LLC, which state to pick, how the EIN and bank account work without a Social Security number, and what you owe every year to stay compliant.

Why Bangladeshi founders form a US company

If you sell to US clients, use Stripe, or list on US marketplaces, a US company makes the relationship simpler. Clients pay faster when they see a US business address and a US bank account. Stripe and most US payment processors work far more smoothly with a US-registered entity than with a foreign one. Marketplaces like Amazon also tend to prefer sellers with a US tax presence.

If you plan to raise money from US investors, a Delaware C-Corporation is usually what they expect. Investors are used to standard US paperwork, and a Delaware C-Corp fits that pattern.

None of this requires you to move to the US or hold any kind of US immigration status. You can own and run a US LLC or C-Corp entirely from Bangladesh.

Choosing a state: Wyoming or Delaware

Most solo founders and small teams pick Wyoming. It has low fees, straightforward paperwork, and no state income tax on the LLC's activity outside the state. If you are not planning to raise venture money, Wyoming is usually the simpler and cheaper choice.

Delaware makes sense if you are planning to raise from US venture investors, since it is the default structure they expect and its corporate law is well understood by lawyers and investors. Delaware works best paired with a C-Corporation, not an LLC.

Here is a quick comparison:

Factor Wyoming LLC Delaware C-Corp
Best for Freelancers, agencies, e-commerce, SaaS without outside investors Startups planning to raise venture capital
Setup speed 1 to 3 business days 1 to 3 business days
State fees Lower, at cost Higher, at cost, plus annual franchise tax
Ongoing state filing Annual report Annual report and franchise tax
Investor familiarity Lower High

If you are unsure which one fits your plans, a quick call before you file is worth it.

Getting an EIN without an SSN

Your LLC needs an EIN, which is the US tax ID number, to open a bank account, file taxes, and work with Stripe. You do not need a Social Security number or an ITIN to get one. The IRS issues EINs to foreign owners through a different process than the one used for US residents.

The catch is timing. Without an SSN, EIN processing normally takes 2 to 4 weeks. If you need it faster, expedited processing can bring that down to a matter of days. PowerLaunch offers expedited EIN as a $295 add-on on the Launch and Run plans, and it comes included on the Scale plan.

Opening a US bank account from Bangladesh

Once your LLC has an EIN, you can apply to open a US business bank account. PowerLaunch introduces founders to Mercury, Wise Business, and Relay after the EIN is issued. Approval is always the bank's decision, not PowerLaunch's, and each bank has its own review process for non-resident founders. Most founders get approved without needing to visit the US, but requirements can change, so check the bank's current onboarding page before you apply.

Yearly US filings you should not skip

Owning a US LLC as a foreign founder comes with specific federal filing duties, separate from any Bangladesh tax obligations.

  • Form 5472 with a pro forma 1120: if your LLC is single-member and foreign-owned, this filing is due by 15 April each year. It reports transactions between you and your LLC. Missing this filing carries real penalties, so treat the deadline seriously even if your LLC had little activity.
  • State annual report: most states, including Wyoming and Delaware, require a yearly report to keep your LLC or corporation in good standing. Filing deadlines and fees vary by state, so check your state's website for the exact date.
  • BOI reporting: under the current 2026 interim FinCEN rule, US-formed companies are exempt from beneficial ownership reporting. Rules can change, so it is worth confirming this stays current each year.

The Run and Scale plans from PowerLaunch include the business IRS tax filings and the annual state report, so these deadlines are handled for you rather than left to track on your own.

Bangladesh side: what to check locally

Forming a US company does not remove any obligations you have at home. Bangladesh has its own rules around foreign income, ownership of foreign entities, and reporting, and these can affect you depending on your residency status and how you take money out of the US company. These rules can also change, so this guide will not guess at specific rates or forms. Talk to a tax adviser in Bangladesh who is familiar with foreign company ownership before you file your first local tax return after forming the US entity. Getting this right on both sides keeps you clean in both countries.

What to do next

Forming from Bangladesh does not require a US visit, a US Social Security number, or any special visa status. It requires the right state choice, a properly filed EIN application, a bank account set up after formation, and a habit of filing your US paperwork on time.

Here is how it works with PowerLaunch:

  1. Pick a plan. Launch is $295 a year for the formation, EIN, operating agreement, registered agent, and a virtual business address. Run is $1,995 a year and adds the annual state report, a licensed tax professional consultation, business IRS filings, and bookkeeping tools. Scale is $2,995 a year, or $329 a month, and adds expedited EIN, free dissolution, live call scheduling, and a dedicated bookkeeper. State filing fees are added at cost on every plan.
  2. Complete checkout at powerlaunch.solutions/signup. PowerLaunch handles the state filing, the EIN application, and your operating agreement or bylaws.
  3. Get your EIN and move on to a bank introduction with Mercury, Wise Business, or Relay.
  4. Keep your yearly filings on track with Run or Scale, so 5472, the pro forma 1120, and your state report are never missed.
